You are responsible for all activities under your account.
SDX VISION is not liable for unauthorized access resulting from your negligence.
Scope of Services
SDX VISION provides custom software development and AI-powered solutions tailored to client needs. Our services include:
Application Development: Custom web and mobile applications aligned with business goals.
Website & SaaS Development: Responsive websites and scalable SaaS platforms optimized for growth.
Custom Software: Bespoke software solutions to streamline operations and boost efficiency.
Startup MVPs & Urgent Projects: Fast-tracked MVPs and emergency builds delivered swiftly.
B2B Project Outsourcing: White-label development services with guaranteed delivery and transparent pricing.
AI & ML Solutions: Intelligent agents, model training, and automation for data-driven insights.
Services may include consulting, API hosting, model fine-tuning, system integrations, and optional ongoing maintenance. The exact scope will be defined in project-specific agreements.
Intellectual Property Rights
Pre-existing IP: All frameworks, AI models, libraries, tools, and components developed by SDX VISION prior to your project remain our exclusive property.
Deliverables: Upon receipt of full payment, the client owns the custom deliverables specifically created for their project.
SDX VISION retains rights to:
Generic code components, reusable modules, and internal tools.
Training data, algorithms, and methodologies.
Portfolio and showcase rights to display completed work (unless restricted by NDA).
Payment Terms
First Draft: A first draft is provided free of charge after the agreement is signed and before the first payment milestone (only if discussed and agreed upon before contract signing).
Payment Structure: Projects typically follow milestone-based payments (e.g., 50% advance, 50% on delivery), as outlined in the project agreement.
Late Payments: Payments are due within 7 days of the invoice date. Late payments will incur a penalty of 5% of the total project cost per day after the grace period.
Non-Refundable: Work already started or milestones completed are non-refundable.
Additional Costs: Taxes, third-party services, API costs, and hosting fees are borne by the client unless otherwise specified.
Confidentiality
Both parties agree not to disclose confidential information shared during the course of the project.
"Confidential Information" includes source code, business data, proprietary processes, trade secrets, and any information marked as confidential.
Exceptions: Disclosure is permitted when required by law or with prior written consent from the other party.
Warranties & Limitations
Deliverables are provided "as is." SDX VISION ensures services will be performed professionally and with reasonable care.
SDX VISION disclaims liability for:
System downtime, data loss, or security breaches beyond our control.
Third-party integrations, APIs, or external services.
Indirect, consequential, or incidental damages.
Client misuse of deliverables or services.
Indemnification
The client agrees to indemnify and hold SDX VISION harmless against any claims, damages, or liabilities arising from:
Misuse of software or services provided by SDX VISION.
Content provided by the client or hosted through our systems.
Breach of these Terms by the client.
Termination
Either party may terminate the agreement with written notice if:
The other party breaches the terms and fails to remedy within 14 days.
The project is completed or payment obligations are unfulfilled.
Upon termination:
The client must pay for all completed work up to the termination date.
SDX VISION will cease all services and revoke access to systems and deliverables.

Third-Party Services
Our services may integrate third-party APIs, libraries, or platforms (e.g., OpenAI, AWS, Google Cloud, Stripe).
Synthisia is not liable for failures, outages, or issues arising from third-party services. Any such issues are beyond our control and subject to the third party's terms and conditions.
Data & Privacy
Synthisia respects your privacy and complies with applicable data protection laws, including GDPR and the IT Act.
We do not sell or share user data with third parties.
Data is stored securely and used only for service delivery and improvement.
Clients retain ownership of their data and may request deletion upon project completion.
